Terms, Policies & Disclosures

Version 3.0 · November 2026 · Kognar Engine by Corvanta · Operated by Corvanta, an independent software provider

Terms of Service

Version 3.0 · November 2026

A note on the documents that make up this agreement. These Terms of Service are the master document. The Licence Agreement, Refund & Chargeback Policy, Risk Disclaimer and Privacy Policy published in this Legal Center are incorporated into these Terms and form part of one single agreement between you and us. They are to be read together. No document in this set overrides or replaces another. Where two provisions genuinely cannot be read together, the order of precedence in Section 16 applies.

1. Who We Are and Who You Are

These Terms of Service ("Terms") govern your access to and use of all products, software and services offered by Kognar Engine by Corvanta, operated by Corvanta, an independent software provider ("Kognar Engine", "Corvanta", "we", "us", "our").

"You" means the individual or entity purchasing or using the Products.

"the Products" means all automated trading software, expert advisors, indicators, dashboards, performance components and related digital tools we supply, together with all documentation, configuration files and add-on components.

By purchasing, downloading, installing, configuring, activating or otherwise using any Product, you confirm that you have read, understood and agreed to be bound by this agreement in full. If you do not agree with any part of it, do not purchase or use the Products.

Continuity of business

Kognar Engine by Corvanta is the successor name to Vaneguard Group and the PRIMUS product line. The business, its ownership and its operations are unchanged. All licences, agreements and obligations entered into under the former name continue in force under the current name, and references in older documentation to Vaneguard Group or PRIMUS are to be read as references to Corvanta and Kognar Engine respectively.

2. Who May Purchase

You confirm that:

We do not offer the Products to persons in any jurisdiction where doing so would require us to hold a licence, registration or authorisation we do not hold. If you are in such a jurisdiction, you may not purchase.

3. Nature of What We Sell

The Products are technical software tools. They automate or assist a defined trading methodology. They are not a financial service, an investment product, a managed account, or financial advice of any kind, and we are not a registered investment adviser, broker or financial institution in any jurisdiction.

We make no representation that any Product will be profitable, will meet any level of performance, or will be suitable for your trading style, your broker, your account size or the market conditions you encounter. Section 7 and the Risk Disclaimer set out the position on results in full.

4. What You Receive

Upon completed purchase you receive access to the specific Product package you selected, which may include automated trading software for the platforms specified at the point of sale, configuration files, documentation and setup guidance, together with any add-on components you purchased.

The exact contents, features and inclusions of your purchase are defined by the package tier you bought and the description presented at the point of sale.

Product components

Our packages are made up of distinct components, which may be purchased together or separately, and which are treated as distinct components for the purposes of the Refund & Chargeback Policy.

(a) The core software. The automated trading software itself.

(b) Velocity Performance Network. A proprietary performance support component developed by us. It is a digital add-on that integrates with the core software to improve execution speed, responsiveness and resource efficiency.

What the Velocity Performance Network is, and is not. In this agreement and across all our documentation, "Velocity Performance Network" refers exclusively to our own proprietary performance component. It does not refer to a virtual private network, a consumer VPN service, a network tunnelling product, or any third-party networking service of any kind. It cannot be substituted with any third-party product.

It is required for full performance. Whether a given build of the core software requires the Velocity Performance Network to operate at full capability is determined by our engineering team at the time the build is produced, and is not something you can determine in advance. The core software may operate without it, but we do not warrant or guarantee the performance, execution quality or reliability of any installation that does not include it.

If you purchase the core software without the Velocity Performance Network, you do so on the express basis that your installation is not a complete installation, that it has not been set up in accordance with our requirements, and that it is excluded from the technical-failure remedy described in the Refund & Chargeback Policy. You are asked to acknowledge this expressly at checkout.

(c) Setup & Lifetime Support. An optional add-on. Where purchased, it entitles you to one-time setup assistance and to ongoing support and updates for the lifetime of your licence, on the terms in Section 10.

Components may be purchased at the same time or separately, at your convenience. Purchasing them separately does not change the terms that apply to each, and does not change the fact that the Velocity Performance Network is required for a complete installation.

5. Licence

Purchase of a Product grants you a limited, non-exclusive, non-transferable, single-instance licence to install and operate the purchased software on the account or device specified at the time of purchase, for your own personal or business trading activity.

The licence is personal to you. It may not be sold, resold, assigned, sublicensed, transferred, lent, leased or passed to any other person or entity under any circumstances. There is no resale right of any kind under this agreement.

Full licence terms, restrictions and software protection obligations are set out in the Licence Agreement, which forms part of this agreement.

6. Your Responsibilities

You are solely responsible for:

We do not store sensitive trading credentials such as broker passwords or API keys. You should never share such credentials with any party.

7. Performance, Results and Claims

This section states our position on results. It is to be read together with the Risk Disclaimer.

No guarantee of any kind. We make no guarantee of profit, income, performance, consistency, stability or return. Specifically:

  • No profits are guaranteed.
  • No level of performance is guaranteed.
  • No income or earnings are guaranteed.
  • No consistency of results is guaranteed.
  • No freedom from loss is guaranteed, at any stage of any trade.
  • Past performance does not guarantee, indicate or predict future results.

How to read anything we publish about performance. Any performance figure, record, example, chart or comparison we publish describes observed historical results of the software under the specific conditions in which those results were recorded, including the account size, broker, risk settings, date range and market conditions applicable at the time. Such figures are descriptions of the past, provided for reference. They are not forecasts, projections, targets, promises or assurances of any future result.

No performance targets. We do not set, state, advertise or undertake to achieve any profit target, return figure or performance level for any Product or package tier. Where our materials compare one package tier to another, the comparison describes the technical capability and historical record of each tier and is not a representation as to what either will earn.

No reliance on anything outside this agreement. You confirm that in purchasing you have relied only on the written terms of this agreement and the product descriptions published at the point of sale, and not on any statement, estimate, figure or assurance given verbally, in chat or messaging, in any social media post, or by any reseller or third party. No such statement forms part of this agreement or creates any obligation on us.

8. Payments and Fees

Products are offered as one-time purchases at the prices displayed, unless otherwise stated for a specific package or add-on. Listed prices may include a transaction fee applied at checkout.

Payments are processed by third-party payment providers. By completing a purchase you also agree to the applicable terms of the payment provider used. You are responsible for any taxes, bank charges, currency-conversion costs or card fees that apply on your side of the transaction.

Refunds are governed entirely by the Refund & Chargeback Policy, which forms part of this agreement. Please read it before purchasing.

9. Delivery

All Products are delivered digitally. Files, access, download links or credentials are provided following confirmed payment and, where applicable, completion of any information or onboarding steps required from you.

Delivery timeframes given at the point of sale are estimates. It is your responsibility to provide accurate contact and account details so delivery can be completed.

Record of delivery. We retain records of each delivery, including the date and time, the delivery channel, the files or access provided and any confirmation received from you. These records are evidence of delivery for all purposes under this agreement, including in any payment dispute.

10. Support and Updates

Where you have purchased Setup & Lifetime Support, you are entitled to:

This entitlement continues for as long as your licence remains in force. It ends only if your licence is terminated under Section 12.

Where you have not purchased Setup & Lifetime Support, support is provided at our discretion and is not contractually guaranteed, and updates may be chargeable.

In all cases, support is provided through our official channel and is intended to assist with setup, configuration and reasonable operational questions. It is not a substitute for your own account monitoring or decision-making, and it does not extend to trading advice, strategy recommendations or account management.

11. Complaints and Disputes — Contact Us First

If you have any concern about a Product, a purchase or our service, you agree to raise it with us first through our official support channel before taking any other step.

Our complaints procedure:

  1. Submit your concern to our official support channel, with your order reference and a description of the issue.
  2. We acknowledge your complaint within 2 business days.
  3. We investigate and provide a substantive response within 10 business days of acknowledgement, or explain why more time is needed.
  4. If you are not satisfied with the response, you may escalate it once in writing for review.

This procedure is a condition of this agreement. Initiating a payment dispute or chargeback without first completing it is a breach of these Terms, and the consequences are set out in the Refund & Chargeback Policy.

12. Termination

Your licence remains in force until terminated.

We may terminate your licence immediately, revoke your access, and permanently decline to provide any further product or service to you, where:

On termination you must immediately cease all use of the Products and permanently delete all copies from all devices and accounts. Termination under this Section does not entitle you to any refund.

The provisions relating to intellectual property, software protection, confidentiality, limitation of liability, no guarantee, refunds and governing law survive termination.

13. Limitation of Liability

Nothing in this agreement excludes or limits any liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any other liability that applicable law does not permit us to exclude.

Subject to that, and to the fullest extent permitted by law:

We are not liable for any trading losses, lost profits, missed opportunities, loss of data, business interruption, or any indirect, incidental, special, consequential or exemplary damages arising out of or in connection with the Products or this agreement.

We are not liable for losses or failures caused by: market conditions of any kind; broker execution, broker outages, broker policy or broker error; platform downtime or platform updates; VPS, hosting, connectivity or power failures; third-party software or services; your configuration, your settings or your trading decisions; or your failure to install, configure or operate the software in accordance with our documentation.

Maximum aggregate liability. Our total aggregate liability for any claim arising out of or relating to the Products or this agreement shall not exceed the amount actually paid by you for the specific Product giving rise to the claim.

Where any limitation in this Section is found by a court to be broader than applicable law permits, it shall be read down and enforced to the maximum extent the law allows, rather than struck out.

14. No Warranty

Except as expressly stated in this agreement, the Products are provided "as is" and "as available" without warranty of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose or non-infringement. We do not warrant that the Products will be error-free, uninterrupted, or that they will achieve any particular result.

15. Governing Law and Jurisdiction

This agreement, and any dispute or claim arising out of or in connection with it, is governed by the laws of the jurisdiction in which Kognar Engine by Corvanta is established, without regard to conflict-of-law principles.

The parties agree to attempt in good faith to resolve any dispute through the complaints procedure in Section 11 before commencing proceedings.

Any dispute that cannot be resolved that way shall be subject to the exclusive jurisdiction of the courts of that jurisdiction, and you irrevocably submit to that jurisdiction.

Nothing in this Section deprives you of the protection of any mandatory provision of consumer law in your country of residence that cannot be derogated from by agreement.

16. General

Entire agreement and precedence. This agreement comprises these Terms of Service together with the Licence Agreement, the Refund & Chargeback Policy, the Risk Disclaimer and the Privacy Policy, and the product description presented at your point of sale. These documents are to be read together as a single agreement. None supersedes another. Where a genuine conflict arises that cannot be reconciled, the following order of precedence applies: (1) these Terms of Service; (2) the Refund & Chargeback Policy; (3) the Licence Agreement; (4) the Risk Disclaimer; (5) the Privacy Policy. This agreement supersedes all prior verbal or written understandings relating to the Products.

Severability. If any provision of this agreement is found to be invalid or unenforceable, it shall be read down and enforced to the maximum extent permitted by law. If it cannot be read down, it shall be severed and the remaining provisions continue in full force.

No waiver. Our failure or delay in enforcing any provision is not a waiver of that provision or of any other.

Assignment. You may not assign or transfer any of your rights under this agreement. We may assign our rights and obligations to a successor in connection with a reorganisation, rebrand or transfer of the business.

Changes to this agreement. We may update this agreement at any time. The version in effect at the time of your purchase governs that purchase. The current version number and effective date appear at the head of every document in this set.

Acknowledgement. By purchasing, downloading, installing, configuring, activating or otherwise using any Kognar Engine by Corvanta Product, you confirm that you have read and understood this agreement and all documents incorporated into it; that you accept the risks described; that you understand no result of any kind is guaranteed; and that you agree to the refund and chargeback position set out in the Refund & Chargeback Policy.

Refund & Chargeback Policy

Version 3.0 · November 2026

This Policy forms part of, and is incorporated into, the Kognar Engine by Corvanta Terms of Service. It is to be read together with the Terms of Service, the Licence Agreement and the Risk Disclaimer. Please read it before purchasing.

1. The Principle

Our Products are digital. Once software, files, credentials or access have been delivered to you, they cannot be returned, recovered or revoked. You retain them permanently regardless of what happens afterwards. Our refund position reflects that reality.

This Policy sets out the only circumstances in which a refund may be available, the evidence required, and how we decide what remedy to provide. Refund decisions are made against this Policy and nothing else.

2. Before Delivery

Where a Product has not yet been delivered or made accessible to you, you may request cancellation and a full refund by contacting our official support channel. We process it to the original payment method where possible.

Delivery occurs when files, download links, access or credentials are first made available to you, whether or not you have opened, downloaded or installed them.

3. After Delivery — The Only Ground for a Refund

Once a Product has been delivered, the sale is final, except where the Product fails the technical standard described in this Section.

3.1 The technical standard

A refund may be considered only where the software fails to install, launch, or perform the technical functions described in its documentation, and that failure is attributable to a defect in the software itself.

To be eligible, all of the following must be satisfied:

3.2 What is expressly not a ground for a refund

For the avoidance of doubt, and without limiting Section 3.1, no refund is available in respect of any of the following:

3.3 Components that are non-refundable after delivery

The following are non-refundable once delivered or commenced, and are not subject to the technical-failure remedy:

ComponentPosition
Velocity Performance NetworkNon-refundable once delivered.
Setup assistanceNon-refundable once the setup process has been initiated or scheduled.
Lifetime supportNon-refundable once the licence has been delivered.

4. Evidence Required

A refund claim under Section 3.1 must be accompanied by:

  1. Your order reference and the date of purchase.
  2. A description of the technical failure, including when it first occurred.
  3. Screenshots or a recording of the failure.
  4. Your full configuration and parameter settings.
  5. The platform log files for the relevant period.
  6. The software's journal or output files, where generated.
  7. Confirmation of your platform, platform build, broker and account type.
  8. Confirmation that the Velocity Performance Network was installed, where applicable.

Failure to provide the required evidence, or to cooperate with our verification, ends the claim. We cannot verify a technical defect we cannot examine.

5. How We Decide, and What You May Receive

5.1 Verification

On receiving a complete claim we verify your installation, configuration and environment against our documentation. We may ask for further information or arrange a supervised review of your setup.

If verification shows that the software was incompletely installed, incorrectly configured, modified, or operated outside a supported environment, the claim ends there. Where the problem is a configuration issue rather than a defect, we tell you how to correct it.

5.2 Remedy

Where verification confirms a technical defect in the software, we provide a remedy. We select the remedy, acting reasonably, from the following, and in the following order of preference:

  1. Correction — we repair the defect and provide a corrected build.
  2. Replacement — we provide a replacement build, or a comparable Product.
  3. Account credit — we issue credit against future purchases.
  4. Refund — we refund the price paid for the defective component, in whole or in part.

We communicate our decision within 14 days of completing verification.

Please note. Confirmation of a defect entitles you to a remedy under this Section. It does not entitle you to a monetary refund. Because a delivered digital Product cannot be returned or recovered, correction or replacement will ordinarily be the appropriate remedy. A monetary refund is available only where we determine that correction, replacement and credit are each unsuitable.

5.3 Where a refund is made

Any refund is limited to the amount actually paid for the specific component found to be defective, and does not extend to other components of your purchase, to transaction or processing fees, or to any trading losses or other losses of any kind. Refunds are made to the original payment method where possible.

On any refund, the licence for the refunded component terminates immediately and you must delete all copies from all devices.

5.4 Submitting a claim does not entitle you to anything

A refund request is a request. Eligibility is determined solely against this Policy. Submitting a claim does not create any entitlement, does not suspend any term of the agreement, and does not entitle you to withhold payment or initiate a payment dispute while it is under consideration.

6. Chargebacks and Payment Disputes

6.1 Contact us first

If you have a concern about a purchase, you must raise it with us first through the complaints procedure in the Terms of Service. We acknowledge it within 2 business days and respond substantively within 10 business days.

This gives you a route to a remedy. Please use it.

6.2 Initiating a chargeback without contacting us is a breach

Initiating a chargeback, payment dispute or reversal in respect of a delivered Product, without first completing our complaints procedure, is a breach of this agreement.

6.3 What happens if you do

Where a chargeback or payment dispute is initiated in respect of a delivered Product without first completing our complaints procedure, we may, at our discretion and without further notice:

These consequences apply in addition to, and not instead of, any other remedy available to us.

6.4 Your obligations continue

Termination of your licence under this Section does not release you from the obligations that survive termination, including those relating to intellectual property, software protection, confidentiality and non-distribution. You must cease all use of the Products and delete all copies from all devices.

6.5 Your statutory rights

Nothing in this Section affects any right you have under applicable law to dispute a payment, or any mandatory consumer right available to you in your country of residence that cannot be excluded by agreement. This Section sets out the consequences under our agreement of choosing to bypass our complaints procedure; it does not purport to remove any right you hold against your card issuer or payment provider.

7. Questions

If you are unclear about any part of this Policy, contact us through our official support channel before purchasing. We would rather answer a question before a sale than resolve a dispute after one.

Licence Agreement

Version 3.0 · November 2026 · Single-Instance Commercial Licence

This Licence Agreement forms part of, and is incorporated into, the Kognar Engine by Corvanta Terms of Service. It is to be read together with the Terms of Service, the Refund & Chargeback Policy and the Risk Disclaimer. The same Licence Agreement is published on our payment platform and delivered with every Product.

1. Parties

Licensor: Kognar Engine by Corvanta, operated by Corvanta ("we", "us", "our").

Licensee: the individual or entity that purchased the Software ("you").

This licence is granted on purchase and takes effect on delivery.

2. Grant of Licence

Subject to your compliance with this agreement, we grant you a limited, non-exclusive, non-transferable, revocable, single-instance licence to:

All rights not expressly granted are reserved by us. This agreement transfers no ownership of any kind.

3. No Transfer, No Resale

This licence is personal to you and may not be transferred.

You may not sell, resell, assign, sublicense, transfer, lend, lease, rent, gift or otherwise dispose of the Software, your licence, or any part of either, to any person or entity, under any circumstances.

There is no resale right under this agreement. Any purported transfer is void and terminates your licence automatically.

Where you require rights beyond this licence — additional accounts, team or institutional use, or distribution arrangements — these are available only under a separate written agreement signed by us.

4. Software Protection

This Section protects the integrity and confidentiality of the Software. Breach of any part of it is a material breach and results in immediate termination of your licence without refund.

4.1 You must not distribute

You must not copy, publish, upload, share, distribute, leak, post or otherwise make available the Software, any source file, any compiled file, any configuration file, any documentation or any licence key — in whole or in part — to any person, group, website, forum, marketplace, messaging group, file-sharing service, torrent, repository or platform.

This applies whether or not you receive payment, and whether or not the recipient is known to you.

4.2 You must not modify or interfere

You must not modify, alter, adapt, translate, repackage, rebrand, relabel or create derivative works from the Software or its documentation.

You must not reverse-engineer, decompile, disassemble, deobfuscate, or attempt to derive, extract or reconstruct the source code, algorithms, strategy logic or proprietary methods of the Software by any means.

You must not tamper with, bypass, disable or circumvent any protection, encryption, licensing or verification mechanism in the Software.

4.3 Unprotected builds — no implied permission

The Software is ordinarily delivered in protected or encrypted form.

If any file, build or component you receive is delivered unencrypted, unprotected, in source form, or otherwise accessible, that is not permission to access it. You must not open, read, inspect, examine, analyse, copy, extract from, modify or distribute any such file. You must treat it as protected, and you must notify us immediately so that it can be replaced.

The absence of a technical protection measure does not grant, imply or create any right whatsoever. No right arises by omission, by error, by oversight, or from the state in which a file happens to be delivered. Every right you hold under this agreement is stated expressly in Section 2, and nothing else is permitted.

4.4 You must not use the Software to compete

You must not use the Software, any part of it, or anything derived from it, as the basis for creating, training, developing, marketing or selling any competing or derivative automated trading product, service or strategy.

4.5 You must not operate for others

You must not operate the Software on behalf of third-party clients, investors or account holders under any arrangement — including PAMM, MAM, copy trading, signal services or managed accounts — without a separate written commercial agreement signed by us.

4.6 You must not misuse our identity

You must not remove, alter or obscure any copyright, trademark, attribution or proprietary notice in the Software or its documentation.

You must not claim authorship, co-authorship or any intellectual property right over the Software or any component of it.

You must not use the Kognar Engine or Corvanta names, logos or brand identifiers in any marketing, promotional or resale material without our prior written permission.

4.7 Licensed scope

You must not operate the Software on more accounts, terminals or devices than were licensed at purchase. Additional licences are available for purchase.

5. Intellectual Property

All source code, compiled code, algorithms, strategy logic, module designs, engine components, dashboard elements, interfaces, documentation, text and graphics relating to the Software are and remain our exclusive intellectual property, together with all associated intellectual property rights worldwide.

Purchase of a licence grants only the limited rights in Section 2. It transfers no ownership, no co-ownership and no residual right of any kind.

Kognar Engine and Corvanta, together with associated logos, product names and brand identifiers, are our proprietary marks. Unauthorised use, reproduction, imitation or registration of any of them is prohibited.

6. Confidentiality

The Software, its architecture, its methods and any non-public documentation supplied to you are confidential. The Velocity Performance Network and its method of operation are our trade secrets.

You must keep all of it confidential, must not disclose it to any third party, and must take reasonable care to prevent unauthorised access to any file in your possession. This obligation survives termination of your licence indefinitely.

7. The Velocity Performance Network

"Velocity Performance Network" refers exclusively to our own proprietary performance support component. It does not refer to a virtual private network, a consumer VPN service, or any third-party networking product, and it cannot be substituted with one.

Whether a given build requires it is determined by our engineering team at the time the build is produced. We do not warrant or guarantee the performance, execution quality or reliability of any installation that does not include it. An installation omitting it is not a complete installation.

8. Updates and Support

Where you have purchased the Setup & Lifetime Support add-on, you receive one-time setup assistance plus ongoing support and all updates released for your Product for the lifetime of your licence, at no additional cost. That entitlement ends only on termination of your licence.

Where you have not purchased that add-on, updates and support are provided at our discretion.

9. No Warranty

The Software is provided "as is" and "as available" without warranty of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose or non-infringement.

We do not warrant that the Software will be error-free or uninterrupted, or that it will achieve any particular trading result. No representation is made that the Software will be profitable or suitable for any particular trading style, broker, account size or market condition.

We do not warrant the performance of any installation that does not include the Velocity Performance Network.

10. Risk Acknowledgement

By using the Software you acknowledge and agree that:

The Risk Disclaimer sets out the position in full and forms part of this agreement.

11. Limitation of Liability

Nothing in this agreement excludes or limits any liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Subject to that, and to the fullest extent permitted by law, we are not liable for trading losses, lost profits, missed opportunities, loss of data, business interruption, or any indirect, incidental, special, consequential or exemplary damages arising from the Software or this agreement; nor for losses caused by market conditions, broker conduct, platform or VPS failure, connectivity loss, third-party software, or your own configuration, settings or trading decisions.

Our total aggregate liability for any claim shall not exceed the amount actually paid by you for the specific Product giving rise to it.

Where any limitation is found broader than applicable law permits, it shall be read down and enforced to the maximum extent the law allows, rather than struck out.

12. Termination

This licence is effective until terminated. It terminates automatically on any breach of Section 3 or Section 4, and may be terminated by us on any ground set out in the Terms of Service — including initiating a chargeback or payment dispute without first completing our complaints procedure.

On termination, for any reason, you must:

Termination does not entitle you to any refund. Sections 4, 5, 6, 9 and 11 survive termination indefinitely.

We reserve all remedies available to us at law in respect of any breach, including injunctive relief and recovery of losses arising from unauthorised distribution.

13. Governing Law

This Licence Agreement is governed by the laws of the jurisdiction in which Kognar Engine by Corvanta is established, and the jurisdiction and dispute provisions of the Terms of Service apply to it in full.

14. Relationship to the Other Documents

This Licence Agreement is one part of a single agreement comprising the Terms of Service, the Refund & Chargeback Policy, the Risk Disclaimer and the Privacy Policy. These documents are to be read together.

This Agreement does not supersede any of them, and none of them supersedes this Agreement. Where a genuine conflict arises, the order of precedence in the Terms of Service applies.

Continuity of business. Kognar Engine by Corvanta is the successor name to Vaneguard Group and the PRIMUS product line. The business and its operations are unchanged, and all licences and obligations entered into under the former name continue in force under the current name.

Risk Disclaimer

Version 3.0 · November 2026

This Risk Disclaimer forms part of, and is incorporated into, the Kognar Engine by Corvanta Terms of Service. It is to be read together with the Terms of Service, the Licence Agreement and the Refund & Chargeback Policy.

1. Why This Document Exists

Our Products are software tools that automate or assist a defined trading methodology. They operate in live financial markets, which are inherently uncertain and which no software can control or predict.

This document sets out the nature of that risk so that your decision to purchase and use the Products is an informed one. Please read it in full before purchasing.

Important risk warning Trading foreign exchange, CFDs, gold, silver, indices, cryptocurrencies, commodities and other financial instruments involves a substantial risk of loss and is not suitable for every person. You may lose some, all, or — depending on your instrument and leverage — more than your invested capital. You should only trade with capital you can afford to lose in full.

2. No Guarantee of Any Kind

We make no guarantee of profit, income, performance, consistency, stability or return.

  • No profits are guaranteed.
  • No level of performance is guaranteed.
  • No income or earnings are guaranteed.
  • No consistency of results is guaranteed.
  • No freedom from loss is guaranteed, at any stage of any trade.
  • No protective feature of the software guarantees that any trade will not result in a loss.
  • Past performance does not guarantee, indicate or predict future results.

The Products contain features designed to manage risk and protect profit — stop-loss placement, trailing stops, partial closes, profit-locking levels, circuit breakers and drawdown controls. These features reduce exposure in normal market conditions. They do not eliminate risk and they do not guarantee any outcome.

In fast, gapping, illiquid or disorderly markets, protective levels may not execute at the intended price, or at all. Execution depends on your broker, on available liquidity and on market conditions, none of which are within our control. A trade that has reached any profit level may still close at a loss.

3. We Do Not Set Performance Targets

We do not set, state, advertise, undertake or promise any profit target, return figure, win rate or performance level for any Product or package tier.

Where our materials describe one package tier as more capable than another, that description refers to the technical specification and capability of each tier — the number of strategies, modules, supported markets, concurrent positions and protective features — and to recorded historical results where published. It is not a statement that any tier will produce any particular result, and it is not a comparison of future earnings.

4. How to Read Any Performance Figure We Publish

Any performance figure, record, chart, example or comparison we publish:

Such figures are descriptions of the past. They are not forecasts, projections, targets, promises or assurances of any future result. Your own outcome will differ.

5. Factors Outside Our Control

Many factors affect trading outcomes and lie entirely outside our control, including:

Market factors — volatility, abnormal price movements, gaps, flash crashes, sudden reversals, liquidity shortages, trading halts, circuit breakers, weekend and overnight risk, news-driven movement, macroeconomic and political events, central bank decisions, and changes in market structure or behaviour over time.

Broker factors — execution speed and quality, slippage, spread widening, requotes, partial fills, order rejection, commission and swap changes, liquidity sourcing, platform or server outages, account restrictions, margin calls, stop-outs, policy changes, and broker error.

Technical and environmental factors — platform downtime and updates, VPS or hosting instability, connectivity loss, network latency and routing, power failure, hardware limitations, third-party software conflicts, data feed errors and time synchronisation issues.

Factors within your control — your configuration and parameter settings, your risk settings, your capital allocation and leverage, your choice of broker and account type, your monitoring, any manual interference with the software's operation, and whether you have installed the software completely and correctly.

Regulatory factors — changes in law or regulation affecting automated trading, your broker, your instruments or your jurisdiction.

The Products do not remove any of these risks. They apply a defined methodology within an environment that remains subject to all of them.

6. Strategy and Model Risk

Automated strategies operate on assumptions about market behaviour. Those assumptions can fail.

Market dynamics evolve. A strategy that performed well in one market regime may perform poorly in another. Statistical models degrade over time. Backtested and simulated results do not reflect live execution conditions and do not ensure profitability. Historical data may not reflect future conditions.

The software may experience losing trades, losing streaks, extended drawdowns, periods of stagnation and periods of underperformance. These are normal characteristics of automated trading and are not defects in the software.

7. Not Financial Advice

Nothing we provide constitutes financial, investment, legal or tax advice, or a recommendation to trade any instrument or adopt any strategy.

We are not a registered investment adviser, broker, dealer or financial institution in any jurisdiction. The Products are technical software tools.

You remain solely responsible for all trading decisions, risk settings, capital allocation and account monitoring.

We strongly recommend that you test any Product on a demo account before committing live capital, and that you consult an independent, qualified financial adviser before trading.

8. Earnings Disclaimer

Any figure, example or track-record information we share is illustrative of past or observed results only and must not be taken as a promise or projection of what you will earn.

We make no income claims and no profit promises. Your results, if any, depend on factors substantially outside our control. You accept that you may not achieve results similar to any figure shown, and that you may experience losses.

9. Your Responsibility

By purchasing and using the Products you acknowledge that:

10. Limitation of Liability

The limitation of liability in Section 13 of the Terms of Service applies in full and is incorporated here by reference.

In summary, and subject to the liabilities that cannot lawfully be excluded: we are not liable for trading losses, lost profits, missed opportunities, loss of data, or any indirect or consequential loss arising from the use of the Products, and our total aggregate liability for any claim does not exceed the amount actually paid for the Product giving rise to it.
